These Terms of Service (“Terms”) are a binding agreement between Quavr LLC (“Musiqstand,” “we,” “us”) and you. By creating an account or using musiqstand.com (the “Service”), you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Service.
1. The Service
Musiqstand provides business tools for independent music teachers, including student management, lesson scheduling, automated lesson and payment reminder emails, payment tracking, and AI-assisted lesson planning. Features vary by subscription tier and may change as the Service evolves. We may introduce additional features over time (such as lesson recording, booking pages, or integrated payment collection); new features may be subject to additional terms when released.
2. Eligibility and Accounts
- You must be at least 18 years old and able to form a binding contract to create an account.
- You must provide accurate information and keep it current.
- Sign-in uses one-time codes sent to your email address. You are responsible for maintaining control of that email account and for all activity under your Musiqstand account. Notify us immediately at support@musiqstand.com of any unauthorized use.
- One account per teacher. Accounts may not be shared, sold, or transferred.
3. Your Relationship with Musiqstand — and with Your Students
You are an independent business. You are not an employee, agent, partner, or contractor of Musiqstand. Musiqstand is a software provider only.
- The teaching relationship — including lesson quality, pricing, scheduling commitments, cancellations, and refunds to your students — is entirely between you and your students. Musiqstand is not a party to it.
- You are solely responsible for complying with all laws that apply to your teaching business, including tax obligations, business licensing, background check requirements, and any laws governing working with minors in your jurisdiction.
- Emails sent through the Service on your behalf (lesson and payment reminders) are sent at your direction. You are responsible for their accuracy and lawfulness as they relate to your students.
4. Payments Between You and Your Students
Musiqstand does not process, hold, transmit, or guarantee payments between you and your students.
- Payment reminder emails state the amount due and the due date; they do not contain your Venmo, Zelle, or PayPal details, which are stored in your settings for your own reference. Your students pay you directly on platforms you and they choose, under those platforms’ terms.
- You are solely responsible for collecting payment, for disputes with students, and for any fees those platforms charge.
- Musiqstand charges no commission on lesson payments. Marking lessons as paid is your responsibility; Musiqstand does not verify that payment occurred.
- Stripe-based payment collection (“coming soon”) will be governed by additional terms when released.
5. Subscriptions and Fees
- Free plan: free indefinitely, limited to 3 active students. No payment card is required.
- Paid plans: include a 30-day free trial that begins at signup. After the trial, your selected plan is billed monthly or yearly via Stripe until cancelled. Pricing is shown at signup and in your account settings. We may change pricing with at least 30 days’ notice; changes apply at your next billing cycle.
- Cancellation: cancel anytime in account settings. Cancellation stops future billing; you retain access through the end of the paid period, after which your account moves to the Free plan. You can resume a pending cancellation before the period ends. Fees already paid are non-refundable except where required by law.
- Taxes: fees are exclusive of taxes, which you are responsible for where applicable.
- Failure to pay may result in suspension or downgrade of your account after reasonable notice.
6. Student Data and Your Warranties
You control the student data you enter into the Service. You represent and warrant that:
- You have the legal right and all necessary consents to enter each student’s information into the Service, including parent/guardian consent where the student is a minor;
- You will honor requests from students or parents to access, correct, or delete their information, and will use the tools provided in the Service (or contact us at support@musiqstand.com) to fulfill verified deletion requests;
- Your use of the Service complies with all applicable privacy, electronic communication, and consumer protection laws in your jurisdiction and your students’ jurisdictions.
If the Service introduces lesson recording features, additional consent obligations — including obtaining affirmative consent from every recorded individual, and verifiable parental consent for minors where required by law — will apply before you may upload recordings.
These warranties are material terms. Breach of this Section is grounds for immediate suspension or termination.
7. AI Features
The Service uses artificial intelligence to generate lesson plans through an interactive planning assistant, along with short AI-generated text in the app.
- AI output is a starting point, not professional advice. It may be inaccurate, incomplete, or inappropriate for a particular student. You are responsible for reviewing all AI-generated content before relying on it or sharing it with a student or parent.
- AI conversations are subject to technical limits (such as caps on conversation length and exchanges) to maintain service quality and cost control. We may adjust limits, including by tier, as the Service evolves.
- You may not use AI features to generate content unrelated to music education, or attempt to circumvent usage limits or content safeguards.
- If we introduce additional AI features (such as transcription or lesson summaries), they may be subject to additional terms when released.
8. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose, or to harass, exploit, or harm any person, including any minor;
- Send spam or unsolicited commercial email through the Service, or use it to contact individuals who are not your students, their parents, or prospective students who contacted you;
- Upload malicious code, attempt to access other teachers’ data, probe or breach security measures, or interfere with the Service’s operation;
- Scrape, resell, sublicense, or white-label the Service;
- Misrepresent your identity or qualifications in the Service;
- Upload content (including images) you do not have the right to upload, including content that infringes others’ intellectual property or privacy rights.
We may investigate violations and suspend or terminate accounts that breach this Section.
9. Your Content and Our License
- You own your content — student records, lesson plans created for you, and images you upload.
- You grant Musiqstand a limited, non-exclusive license to host, process, transmit, and display your content solely to provide and improve the Service, consistent with the Privacy Policy. We do not use your content to train AI models.
- You can leave with your data. Request a copy at support@musiqstand.com and we will provide it in a portable format; we are not a walled garden.
10. Musiqstand's Intellectual Property
The Service — including its software, design, branding, and documentation — is owned by Quavr LLC or its licensors. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service for your teaching business. No other rights are granted. “Musiqstand” and associated logos may not be used without written permission.
11. Third-Party Services
The Service depends on third-party providers (including Stripe, Supabase, Resend, Cloudflare, and Anthropic) and may reference payment platforms (Venmo, Zelle, PayPal) that we do not control. Your use of those platforms is governed by their terms. We are not responsible for their acts, omissions, or outages, though we will make reasonable efforts to restore Service functionality affected by them.
12. Beta Features and Availability
- Features marked beta, preview, or “coming soon” are provided as-is and may change or be withdrawn.
- We aim for high availability but do not guarantee uninterrupted service. We may modify, suspend, or discontinue features with reasonable notice where practicable.
13. Termination
- By you: cancel your subscription anytime in account settings, and delete your account there as well, per the Privacy Policy. Cancel any active subscription before deleting your account.
- By us: we may suspend or terminate your account for breach of these Terms (immediately for breaches of Sections 6 or 8), for non-payment after notice, or if required by law. Where the breach is curable, we will make reasonable efforts to notify you and allow cure.
- On termination, your right to use the Service ends. You may request a copy of your data at support@musiqstand.com; account deletion permanently removes your data, except records we retain per the Privacy Policy. Sections 6, 9, 10, and 14–18 survive termination.
14. Disclaimers
The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Musiqstand disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Musiqstand does not warrant that the Service will be error-free or uninterrupted, that AI output will be accurate, or that you will obtain any particular business result, including student acquisition or retention.
15. Limitation of Liability
To the maximum extent permitted by law: (a) Musiqstand will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill; and (b) Musiqstand’s total liability for all claims arising out of or relating to the Service will not exceed the greater of (i) the amounts you paid to Musiqstand in the twelve (12) months before the claim arose, or (ii) fifty U.S. dollars ($50).
Some jurisdictions do not allow certain limitations; in those jurisdictions, these limits apply to the fullest extent permitted. Nothing in these Terms limits liability that cannot be limited by law.
16. Indemnification
You will defend, indemnify, and hold harmless Quavr LLC and its members, officers, and agents from any claims, damages, and expenses (including reasonable attorneys’ fees) arising from: (a) your teaching business or your relationship with any student or parent; (b) your breach of these Terms, including the warranties in Section 6; (c) your content; or (d) your violation of any law or third-party right.
17. Dispute Resolution; Arbitration; Class Action Waiver
Please read this Section carefully — it affects your legal rights.
- Informal resolution first: before filing any claim, you agree to contact us at support@musiqstand.com and attempt in good faith to resolve the dispute within 30 days.
- Binding arbitration: any dispute arising out of these Terms or the Service that is not resolved informally will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. The arbitration will be conducted in Colorado or remotely by videoconference. Judgment on the award may be entered in any court of competent jurisdiction.
- Exceptions: either party may bring an individual claim in small claims court, or seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.
- Class action waiver: all claims must be brought in an individual capacity, not as a plaintiff or class member in any class, consolidated, or representative proceeding.
- Opt-out: you may opt out of arbitration by emailing support@musiqstand.com within 30 days of first accepting these Terms, with your name, account email, and a statement that you opt out of arbitration.
- If you reside in a jurisdiction where mandatory arbitration or class waivers are unenforceable, this Section applies only to the extent permitted, and you retain any non-waivable rights, including the right to complain to your local consumer protection or data protection authority.
18. General
- Governing law: these Terms are governed by the laws of the State of Colorado, USA, without regard to conflict-of-law rules, except where the consumer protection laws of your country of residence grant you non-waivable rights.
- Changes to these Terms: we may update these Terms. Material changes will be communicated by email or in-Service notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance; if you do not agree, cancel before the changes take effect.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and Musiqstand regarding the Service.
- Severability: if any provision is unenforceable, the remainder stays in effect.
- No waiver: failure to enforce a provision is not a waiver.
- Assignment: you may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- Notices: we may notify you via the email on your account. Legal notices to Musiqstand go to support@musiqstand.com.
